Following shareholder approval for the acquisition of True North Copper Pty Ltd, Mr. Toko Kapea has resigned as a Non-Executive Director of Duke Exploration Limited.
True North Copper Managing Director Mr. Martin Costello has been appointed as Managing Director of Duke and will fill the Board vacancy created by Mr. Kapea's resignation.
The remaining condition for the Acquisition's completion is the Company receiving conditional approval from ASX for the re-quotation of its shares.

Duke Exploration Limited announces an update on the acquisition of True North Copper Pty Ltd and the related capital raising under a Prospectus dated 3 May 2023.
Resolution 5 in the Notice seeks Duke shareholder approval for the Offer to issue up to 280 million shares at an issue price of $0.25, raising up to $70 million (before costs).
The final maximum subscription has now been set at $40 million (before costs), comprising an underwritten offer of 140 million shares and a priority offer to eligible Duke shareholders of 20 million shares at $0.25 per share.

Duke Exploration Limited has entered a binding formal agreement to acquire all of the issued share capital in True North Copper.
True North Copper holds a significant copper asset package, a separate high-grade cobalt resource, and the Cloncurry Great Australia Mine (GAM) complex oxide and sulphide processing facilities.
The acquisition presents an opportunity to fast-track several assets into production and provides a compelling pipeline of resource expansion and greenfield discovery targets.
